Client (“you”) = the business and signer named on the signature page / invoice.
This Agreement works with our website Terms and Privacy. It is not a substitute for your own lawyer if you need one. If this Agreement and the website Terms conflict on a booked service, this signed Agreement controls for that service.

1. What this covers
This Agreement covers services you book from High Power, including (as listed on your invoice or proposal):
- Managed outreach desk (outbound email under your name, follow-ups, reply watching, weekly summaries, approvals)
- Other desk modules (for example fast lead reply, review asks, appointment reminders, inbox triage) when booked
- Website build, hosting, security updates, and ongoing site help when booked
Deliverables, fees, and start dates live on your invoice / proposal. Work outside that scope needs a new quote or change order.
2. Start of work (pay before kickoff)
No setup, mailbox connect, drafting, hosting kickoff, or other paid work starts until the upfront amount on your invoice is paid (card, Cash App to $HighPowerTech, transfer, or other method we accept). No “start now, pay later.”
3. How desk services work
3.1 You approve outbound. For outreach and similar desk work, nothing is sent under your name until you approve (for example YES) or you give us a clear written standing rule later. You can say NO, REWRITE, or PAUSE.
3.2 Sent as you. Outbound mail uses your business mailbox / domain and your business identity. You own your list and replies.
3.3 Hours. Plans that include an hours cap (for example up to 5 hours a month) count open questions and extra work toward that cap as described in your kickoff note. Weekly summaries and simple YES/NO approvals are handled as described there.

3.5 Sounds like you. We do not tell your customers that an AI or bot is emailing them. Outbound sounds like you.
4. Your responsibilities
You agree to: give accurate information and timely approvals; own or have rights to content, logos, and lists you give us; keep your own account passwords under your control; keep access to your domain and business mailbox; pay invoices on time; use services for lawful business purposes only; follow email and messaging law for your industry and lists.
5. Acceptable use — we can refuse or stop for these
You will not use High Power services, or ask us to send or host content that: is illegal, fraudulent, deceptive, or defamatory; harasses or targets people without a lawful business purpose; promotes scams or phishing; infringes copyrights; violates CAN-SPAM or TCPA (including bought lists without permission); sends adult or hate content; tries to bypass spam filters deceptively; or attacks others’ systems. If you instruct us to send something that violates this section, we may refuse.
6. Email, lists, and legal compliance (shared duties)
You own the relationship with your contacts. We operate as your technical service provider and help draft and send under your identity when you approve. You will not knowingly ask us to email or text people who opted out or are on bought lists without permission. Required honesty: subjects and body copy must not be misleading.
7. Fees, late payment, and pause
Fees are on your invoice / proposal. If an amount stays unpaid more than 10 days after the due date, we may pause desk sends or hosting updates. Unpaid balances may incur a late fee of 1.5% per month (or the maximum allowed by Virginia law, if lower).
8. What we do not guarantee
Except as required by law: we do not guarantee a specific number of leads, sales, rankings, or reply rates. Inbox placement depends on factors outside our full control. Hosting and third-party tools can have outages.
9. Intellectual property and your site
You keep ownership of content you supply and content created specifically for your business site under the proposal. High Power’s internal playbooks and templates remain ours.
10. Confidentiality
Each party will keep the other’s non-public business information confidential.
11. Suspension and termination
11.1 Either party may end ongoing monthly desk or hosting services with 30 days’ written notice before the next billing period, unless your invoice says a different founding or minimum term.
11.2 We may suspend or end services immediately if you breach §5 (abuse) or §6, fail to pay after notice, or create legal risk.
11.3 Effect of suspension for abuse: We stop sending under your name. Setup fees already paid are non-refundable.
12. Indemnity
You protect High Power from claims arising from content or lists you supply, messages you approve, or violations of law tied to your lists. We protect you from claims that our unmodified template materials infringe third-party IP.
13. Limitation of liability
Except for payment obligations, indemnity, or gross negligence/willful misconduct: total liability for claims related to a service is limited to fees paid for that service in the 12 months before the claim.
14. Governing law and disputes
Virginia law governs. Exclusive venue is in Virginia. Before filing suit, each party will try in good faith to resolve the dispute within 14 days.
